These Terms of Service ("Terms") govern your access to and use of EZAutoList, including the EZAutoList Chrome extension, the EZAutoList website at ezautolist.com, and all related services (collectively, the "Service"). The Service is operated by EZAutoList ("we", "us", or "our"). By creating an account, installing the extension, or using any part of the Service, you ("you", "your", or "Customer") agree to be bound by these Terms. If you do not agree, do not use the Service.
EZAutoList is a software tool that helps automotive dealerships and salespeople list used-vehicle inventory on Facebook Marketplace. The Service automates two tasks the Customer would otherwise perform manually:
The Service does not host, store, or distribute listings. All postings occur from the Customer's own Facebook account and remain entirely under the Customer's control.
You must be at least 18 years old and legally able to enter into a binding contract to use the Service. By using the Service, you represent and warrant that:
To use the Service you must create an account using a valid email address. You are responsible for keeping your password confidential and for all activity that occurs under your account. Notify us promptly at support@ezautolist.com if you suspect any unauthorized use.
The Service is offered on a subscription basis. Current pricing is published at ezautolist.com/#pricing. We may change pricing for future billing cycles with at least 30 days' notice; existing subscribers will be honored at their current rate through the end of their then-current period.
Subscription fees are charged through our payment processor, Stripe, at the start of each billing period (monthly or annual, as selected at checkout). You authorize us to charge your payment method automatically for each renewal until you cancel. Applicable sales taxes will be calculated and added at checkout where required by law.
You may cancel at any time by emailing support@ezautolist.com or through the "Manage Subscription" link inside the extension. After cancellation, your access continues through the end of your then-current billing period. We do not pro-rate or refund partial periods; once paid, fees are non-refundable except where required by law. If you believe you were charged in error, contact us within 30 days and we will review in good faith.
If a payment fails, we may suspend your access until payment is current. After a grace period your account may be downgraded to a non-paid state. We will notify you before any downgrade.

We may suspend or terminate accounts that violate this section, with or without notice, and may report serious violations to Facebook or to law enforcement where appropriate.
The Service interacts with Facebook Marketplace and with the Customer's dealership website. EZAutoList is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or any dealership platform vendor (DealerInspire, Dealer.com, DealerOn, etc.). You acknowledge that:
EZAutoList and its underlying software, branding, and content are owned by us and protected by U.S. and international intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for your dealership's business during your subscription. This license terminates when your subscription ends.
Vehicle data and photos you process through the Service remain yours (or your dealership's). We do not claim ownership of your inventory data. You grant us a limited license to host, process, and transmit this data solely as needed to provide the Service to you.
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
The Service is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
To the maximum extent permitted by law, EZAutoList and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost sales, lost data, or Facebook account suspensions, even if we have been advised of the possibility of such damages.
Our total cumulative liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages; in those jurisdictions our liability is limited to the greatest extent permitted by law.
You agree to indemnify, defend, and hold harmless EZAutoList, its operators, employees, and contractors from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) listings you post through the Service; (c) your violation of these Terms; (d) your violation of any law or third-party right (including Facebook's rules); and (e) any inventory misrepresentation in listings you create.
You may terminate your account at any time by canceling your subscription. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms or that your use of the Service exposes us to legal or operational risk. Upon termination, your right to use the Service ends; sections that by their nature should survive (including IP, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. The parties agree to resolve any dispute arising out of these Terms or the Service through binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Travis County, Texas. You and we each waive any right to a jury trial and to participate in a class action, class arbitration, or representative action. Notwithstanding the foregoing, either party may bring an individual action in small-claims court for disputes within that court's jurisdiction, and either party may seek injunctive or equitable relief in court to protect intellectual property rights.
We may update these Terms from time to time. If a change is material, we will provide reasonable notice (for example, by emailing you or posting a notice in the extension) at least 14 days before it takes effect. Continued use of the Service after a change becomes effective constitutes acceptance of the updated Terms.
Entire Agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force.
No Waiver. Our failure to enforce any right or provision of these Terms does not waive that right or provision.
Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
No Agency. Nothing in these Terms creates a partnership, employment relationship, agency, or joint venture between you and us.
